Terms and Conditions

These Terms govern tutoring and college preparation services provided by Direction Tutors, LLC, doing business as Michael Jordan College Prep.

1. Introduction and Acceptance

1.1 Direction Tutors, LLC, doing business as Michael Jordan College Prep ("MJ Prep"), is an active business in the State of Texas.

1.2 Throughout this document, "we," "us," and "our" refer to MJ Prep, its staff, and its employees. "You" and "your" refer to the client who accepts these Terms and to the student receiving our services.

1.3 By booking a consultation, paying the enrollment fee, scheduling or attending a session, or making any payment, you agree to these Terms.

1.4 We may change these Terms at any time in our sole discretion. Changes apply only to services provided after the change takes effect. We will post the updated Terms with a revised "Last updated" date, and we will email you before any material change takes effect.

2. Who These Terms Bind

2.1 If the student is under 18, these Terms must be accepted by the student's parent or legal guardian. That parent or guardian is our client, is personally responsible for all fees, and is responsible for the student's compliance with these Terms.

2.2 By accepting these Terms, you represent that you are at least 18 years old and are either the student or the student's parent or legal guardian.

3. Services

3.1 We provide test preparation and college preparation tutoring, delivered in the student's home, at a public location such as a library, or online by video conference.

3.2 Sessions are billed in half-hour increments.

3.3 Travel. We may charge a travel fee for sessions outside our standard service area. We will tell you the amount before you book any session to which a travel fee applies.

4. Tutors

4.1 All MJ Prep tutors are employees of MJ Prep. We require every tutor to be legally authorized to work in the United States and to pass a criminal background check before working with students.

4.2 We screen tutors carefully, but we do not guarantee any particular tutor's availability or continued assignment to you.

4.3 If you are not satisfied with your assigned tutor, contact us before your second session. We will assign a new tutor and will not charge you for your first session with the original tutor. If you request a tutor change after your second session, all hours used remain billable.

5. Scheduling, Cancellations, and No-Shows

5.1 Sessions run on schedule. Sessions begin and end at their scheduled times regardless of when the student arrives or joins. No fee adjustment is made for time lost to late arrival or early departure.

5.2 Reminders. We send confirmation emails, reminder emails, and reminder texts before every appointment. You remain responsible for knowing the date, time, and location of each session. Failure to receive or read a reminder does not excuse a missed session.

5.3 How to cancel. To cancel a scheduled session, you must, at least 24 hours before the session's scheduled start time, do one of the following:

a. notify your tutor by email, text message, or phone call;

b. contact MJ Prep at director@mjprep.com or (877) 467-8886; or

c. cancel the appointment online.

5.4 Late cancellation. If you do not give at least 24 hours' notice, the session is billed at 100% as if it had taken place.

5.5 No-show and wait policy. If the student has not arrived or joined 15 minutes after the scheduled start time, the tutor may end the session, and it will be billed at 100% as a no-show. The tutor will attempt to reach the student or parent by text during that 15-minute window. This applies equally to in-home, in-person, and online sessions. If the student arrives or joins within 15 minutes, the session still ends at its originally scheduled time.

5.6 Adult present for in-home sessions. A parent, guardian, or another adult you have approved in writing must be present in the home for the duration of any in-home session. If no such adult is present at the start of the session, the session is canceled and billed as a no-show.

5.7 Online sessions. For online sessions, the student is responsible for a working device, camera, microphone, and internet connection. Connection problems on the student's side do not extend the session or reduce the fee. If the failure is on our side, we will reschedule the lost time at no charge.

5.8 If we cancel. If an MJ Prep tutor cancels or misses an appointment without giving you at least 24 hours' notice, you will receive one free session of equivalent length in addition to the hours in your program.

5.9 Free consultations. If you miss your free consultation, are unavailable for it, or cancel it with less than 24 hours' notice, a rescheduled consultation is billed at $150.

6. Enrollment and Payment

6.1 Enrollment fee. A one-time, non-refundable enrollment fee of $100 per student is due before the first session. This fee covers the third-party practice and diagnostic subscriptions we provide for each student. It is not credited toward sessions or packages.

6.2 Card on file. You must provide and maintain a valid credit or debit card as a condition of service. We collect this card at enrollment. You authorize us to charge that card, without further notice, for:

a. any fee more than 30 days past due;

b. missed sessions and sessions not canceled at least 24 hours in advance; and

c. any rescheduled-consultation fee under Section 5.9.

6.3 Rates and due date. You agree to pay the agreed-upon package price or hourly rate. Payment is due on the date of service unless you have prepaid a package.

6.4 Payment methods. You may pay by credit card through our website or our Acuity Scheduling portal, by check mailed to MJ Prep or handed to a tutor, or by cash handed to a tutor.

6.5 Returned payments. We charge a returned payment fee of $30 for any check or electronic payment that is dishonored.

6.6 Declined cards. If your card is declined, you remain responsible for the balance and for any fee your card issuer charges you.

6.7 Suspension for non-payment. We may suspend or permanently cancel your services if you have not paid for your first session by the time of your second scheduled session, if the student or parent is disruptive in the program, or if you do not comply with these Terms.

6.8 Prepaid packages. Prepaid packages apply only to future sessions and cannot be applied to sessions already delivered and unpaid.

7. Expiration and Refunds

7.1 Expiration. Individually purchased sessions and package hours expire 12 months after the date of purchase. Expired hours are neither redeemable nor refundable.

7.2 Test-date cancellations. If ACT or the College Board cancels or reschedules the student's registered test date, we will extend the expiration of your unused hours by a period equal to the delay. Email director@mjprep.com to request the extension.

7.3 Tutor-fit refund. If you are not satisfied after your first session, we will attempt to assign a new tutor as described in Section 4.3. If we cannot find a suitable replacement within a reasonable time, we will refund your remaining prepaid sessions.

7.4 Otherwise non-refundable. Except as described in Section 7.3, prepaid fees are non-refundable.

7.5 Chargebacks. If you have a concern about a charge, contact us at director@mjprep.com first. We will review it promptly. If you dispute a charge with your card issuer without contacting us first, we may suspend or discontinue your services, decline to serve you in the future, and refer any amount that remains genuinely unpaid to collections.

8. No Guarantees

8.1 We do not guarantee any specific outcome, including admission to any educational institution or any score improvement. We provide services designed to help the student succeed; results depend on the student's effort.

8.2 You agree not to hold MJ Prep liable for any admissions decision by any educational institution.

9. Student Work and Artificial Intelligence

9.1 All work the student submits to MJ Prep for review, editing, or feedback, including college application essays, must be written by the student. You agree that the student will not submit any content generated in whole or in part by an artificial intelligence tool.

9.2 If we believe submitted work is not the student's own, we may decline to review it, decline to continue the engagement, or both. No refund is owed for time spent on work that violates this section.

9.3 Many colleges and scholarship programs prohibit AI-generated content in applications and treat violations as grounds for rescinding an offer of admission. You are responsible for complying with each institution's policy. MJ Prep is not liable for any consequence arising from a student's use of artificial intelligence in an application.

10. How MJ Prep Uses Technology

10.1 We use software tools, including artificial intelligence tools, to support our work. Examples include preparing score reports, drafting session recaps, organizing practice data, and scheduling. An MJ Prep employee reviews the materials we send you.

10.2 To provide these services, student information may be processed by the third-party platforms we use, as described in Section 11.2 and in our Privacy Policy.

10.3 Section 9 governs work the student submits to us. Nothing in this Section 10 permits a student to submit work they did not write.

11. Intellectual Property and Confidentiality

11.1 All course materials, methods, and curricula are the exclusive property of MJ Prep. You may use them only for the student's own preparation. You may not disclose, reproduce, sell, publish, or otherwise distribute them.

11.2 We will not sell your personal information. We share it only with service providers who help us deliver our services, such as our scheduling platform, payment processors, practice and diagnostic platforms, communication tools, software tools described in Section 10, and the tutor assigned to you, and only as needed for that purpose or as required by law. Our handling of personal information is described in our Privacy Policy.

12. Communications, Recording, and Marketing

12.1 Text and phone. By providing a phone number when booking a consultation or enrolling, you consent to receive appointment-related calls and text messages from MJ Prep and from your assigned tutor. Message and data rates may apply. You may opt out of texts by replying STOP, but opting out does not relieve you of your responsibility to know your session times.

12.2 Recording by MJ Prep. Online sessions may be recorded by MJ Prep for quality assurance and tutor training. We will notify you before recording. Recordings are the property of MJ Prep, are not shared outside MJ Prep, and are deleted within 180 days.

12.3 Recording by students. Students and parents may not record, photograph, screen-capture, or livestream any session or any MJ Prep materials without our prior written consent.

12.4 Marketing. You grant MJ Prep permission to use the student's first name, last initial, score results, and any review or testimonial you provide in our marketing materials, on our website, and on our social media. We will not publish a student's full name, photograph, or contact information without your separate written consent. You may withdraw this permission at any time by emailing director@mjprep.com, and we will remove the material from any channel we control within a reasonable time.

13. No Direct Engagement of Tutors

13.1 Our tutors are introduced to you at our expense through recruiting, screening, background checks, training, and scheduling. During your engagement with MJ Prep and for 12 months after your last session, you agree not to engage any MJ Prep tutor for tutoring or educational services outside of MJ Prep, whether paid or unpaid, directly or through another company.

13.2 If you wish to engage a tutor directly, contact us at director@mjprep.com. We may permit it in exchange for a conversion fee of $2,500. The parties agree this amount is a reasonable estimate of MJ Prep's loss, including the cost of recruiting, screening, and training a replacement tutor and the margin on the remainder of your program, and is not a penalty.

14. Limitation of Liability

14.3 Nothing in these Terms limits liability that cannot be limited under Texas law.

15. Discontinuation

15.1 We may discontinue service at any time. If we discontinue service for a reason other than your breach of these Terms, we will refund your unused prepaid hours.

15.2 We may cancel your services if the student or parent is disruptive, is abusive toward a tutor or staff member, or does not comply with these Terms.

16. Disputes

16.1 These Terms and any dispute arising from them or from our services are governed by the laws of the State of Texas, without regard to conflict-of-laws principles.

16.2 Before filing suit, the parties agree to attempt in good faith to resolve the dispute through mediation in Dallas County, Texas, with mediation costs shared equally.

16.3 You consent to the exclusive jurisdiction and venue of the state and federal courts located in Dallas County, Texas.

16.4 In any litigation relating to these Terms, the non-prevailing party will reimburse the prevailing party for reasonable attorney's fees and costs.

17. General

17.1 Severability. If any provision is found unenforceable, the remaining provisions stay in effect.

17.2 Entire agreement. These Terms, together with any written package agreement you sign, are the entire agreement between us and supersede any prior discussions or representations.

17.3 No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

17.4 Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including test-date cancellations by ACT or the College Board, severe weather, illness, or loss of utilities or internet service. Your remedy for a test-date cancellation is the expiration extension described in Section 7.2.

17.5 Assignment. You may not assign these Terms. We may assign them in connection with a sale or reorganization of the business.
